If you use this website (including registering an Account) or provide Content to Knight Frank for a listing on this website, or if Content relating to a property you own has been provided to Knight Frank by an authorised third party for a listing on this website, you agree to the terms and conditions set out below, together with our privacy policy and any documents referred to herein (“Terms and Conditions”). Knight Frank is a limited liability partnership registered in England with registered number OC305934. Our registered office is 55 Baker Street, London, W1U 8AN where you may look at a list of members' names.

Disclaimer.

This website describes services provided by Knight Frank (a limited liability partnership incorporated in the UK) and its direct subsidiaries (together known as 'Knight Frank UK'). These services consist of providing a website through which Knight Frank publicly displays office or working space for rent (“Space”) from a range of providers of commercial office space (“Office Providers”) to businesses seeking Space (“Clients”). These Clients can then contact Knight Frank through the website or off-line and Knight Frank will provide a brokerage service to the Client, including providing the Client with more information about the Space and/or making arrangements for viewing of the Space. These Terms and Conditions govern the relationship between Knight Frank and the Office Providers and Knight Frank and the Clients only, any relationship between an Office Provider and Client as a result of this website provided by Knight Frank shall be subject to a separate agreement, contract or understanding to be agreed between that Office Provider and Client.

Each entity or practice in the Knight Frank global network is a distinct and separate legal entity. Its ownership and management are distinct from that of any other entity or practice whether operating under the name Knight Frank or otherwise.

No entity or practice operating under the name Knight Frank (including Knight Frank) is liable for the acts or omissions of any other entity or practice. Neither does it act as agent for nor have any authority (whether actual, apparent, implied or otherwise) to represent, bind or obligate in any way any other entity or practice that operates under the name Knight Frank (including Knight Frank).

The Knight Frank global network has a global alliance with Newmark in the United States. Each Knight Frank global network entity or practice is separate and independent from each entity or practice operating under the Newmark name, and is not liable for the acts or omissions of any Newmark entity or practice. No Newmark entity or practice acts as agent for or has authority (whether actual, apparent, implied or otherwise) to represent, bind or obligate in any way any entity of the Knight Frank global Network.

References to Knight Frank on this website include Knight Frank UK and the Knight Frank global network. Each entity in the Knight Frank global network is responsible locally for the management and ownership of its respective website(s).

While Knight Frank makes every effort to ensure that everything on the website is accurate and complete, we provide it for information only, so it is indicative rather than definitive. Knight Frank neither guarantees that the website will be uninterrupted or without delay nor that it will be error-free or virus-free. The website is provided 'as is' without warranties or representations of any kind.

Knight Frank will not be responsible and will not accept any liability whatsoever for any viruses which may infect your computer by reason of your use of or downloading of applications (including .exe applications) from this website.

Service Suspension and Termination

Knight Frank may suspend or restrict access to some or all parts of this website, and we reserve the right to withdraw or amend the service we provide on our website without notice.  We will not be liable for this website being unavailable at any time or for any period.

We may, with or without prior notice to you, terminate these Terms and Conditions or terminate or suspend your Account in the event that you:

a. have breached applicable law or these Terms and Conditions;

b. have failed to pay any Commission or other fees due to Knight Frank pursuant to these Terms and Conditions,

or in any other circumstances where we deem it appropriate, at our sole discretion.

Upon termination of these Terms and Conditions for whatever reason (including on deletion of your Account):

a. all rights granted to you under these Terms and Conditions will cease and you must discontinue your use of this website;

b. where you are an Office Provider, you must:

i. immediately pay Knight Frank all outstanding amounts and continue to pay Knight Frank all amounts properly due pursuant to these Terms and Conditions; and

ii. continue to promptly inform Knight Frank of any changes made in respect of any Agreement or of any new Agreements entered into by Clients introduced to you by Knight Frank.

Termination or expiry of this Terms and Conditions shall not affect:

a. your or Knight Frank’s obligations which survive the termination or expiry; or

b. any rights which have accrued to you or Knight Frank prior to the termination or expiry.

Important Information relating to Spaces displayed on the website

1. Particulars: A Space listing is not an offer or contract, nor part of one. You should not rely on statements made in the particulars or by word of mouth or in writing as being factually accurate about the Space, its condition, capacity or its features. You acknowledge that Knight Frank is not itself providing the particulars about any Space, it only lists the particulars supplied to it by Office Providers and Knight Frank has no responsibility for verifying any information or representations made in respect of any Space by the relevant Office Provider. It is the responsibility of Clients to satisfy themselves as to the accuracy of any Space descriptions displayed and the responsibility of the Office Providers to ensure the accuracy and integrity of Space descriptions provided to Knight Frank for listing on the website.
2. Photos etc: Any photographs of a Space on the website or promoted by us via our social media channels are intended to be indicative only. Photographs may show only certain parts of the Space as they appeared at the time they were taken or show similar properties to the Space listed. Areas, measurements and distances given are approximate only. Any computer generated image gives only an indication as to how the Space may look and this may change at any time.
3. Regulations etc: Any reference to alterations to, or use of, any part of the Space does not mean that any necessary planning, building regulations or other consent has been obtained. A Client must find out by inspection or in other ways that these matters have been properly dealt with and that all information is correct.
4. Information on the website about a Space is liable to be changed or removed at any time.
5. Currency Disclaimer: Any currency conversion shown is for guidance only as the rate of exchange may not be "up to date".
6. Map Disclaimer: Any indication on a map does not necessarily show the location of a Space, but only the general vicinity.

Registration

To access certain features of this website, you will need an account. To create an account, you must register with Knight Frank on this website by providing Knight Frank with the requested information (“Account”). By submitting your details to us and so creating an Account, you warrant that:

a. you are at least 18 years old;

b. where you are registering an organisation, you are authorised to act on behalf of that organisation in expressing interest in a Space;

c. the details you provide us are true, accurate, complete and current (and you will maintain these so that they continue to be accurate and current) and you have all requisite permissions and consents necessary to provide such information to Knight Frank; and

d. you have read and understood, and agreed to be bound by these Terms and Conditions (including our privacy policy which governs how we will process all personal information you provide to Knight Frank).

As part of registering for an Account, you will choose a username and password and you may be asked for or be provided with any other piece of information as part of our security procedures. You must treat such information as confidential, and you must not disclose it to any third party.  We have the right to disable any username or password or other security information at any time if, in our opinion, you have failed to comply with these Terms and Conditions.

Any personal data that you provide via the website, including in creating an Account, or we otherwise collect about you when you use our website, will be governed by our privacy policy (see https://www.knightfrank.com/legals/privacy-statement).   

You may delete your Account at any time by notifying us at fosenquiries@knightfrank.com or  http://www.knightfrank.co.uk/office-space/contact. Please note that it will take approximately 5 business days for us to delete your Account.

Additional Terms and Conditions for Office Providers (This section applies only to Office Providers)

Listing a Space

If you are an Office Provider and would like to list Properties on our website, please contact us at fosenquiries@knightfrank.com. You will be asked to provide all relevant details in relation to each Space to us, including photos of the Space (“Content”). You are responsible for the Content provided to us for the purposes of listing your Space on the website or promoting it via our social media channels.

By providing such Content to us and proposing a new listing, you warrant that: (a) you have the authority to: provide the Space and Content for listing on our website and our social media channels; act on behalf of the owner or lessor of the Space in advertising and promoting the Space; and to deal with enquiries from Clients we introduce to you; (b) the Space and the information provided by you in relation to the Space complies with all applicable laws and regulations and the leasing of the Space to any Client would not breach any agreement; (c) all applicable charges and fees which are relevant for the Space shall be disclosed to Knight Frank so that they can be clearly described in the listing; (d) where any of the Content you provide to us contain personal data, you have all the rights and authorisations necessary to provide that Content to us for use in accordance with these Terms and Conditions; and (e) you shall use all reasonable endeavours to promptly respond to any queries Knight Frank raises with you, and you shall treat such queries with such professional care and skill as you would direct enquiries. Office Providers may request that Knight Frank amends or deletes the listing at any time and must promptly provide Knight Frank with any updates or new information about the Space as it becomes known to the Office Provider.

You acknowledge that Knight Frank will review the Content you provide and may amend it, provided that Knight Frank shall not materially change the substance of the Content. Knight Frank reserves the right to reject any proposed listing or Content (in whole or part) if it considers that the Content or listing is objectionable or that the Content or the Office Provider is in breach of applicable law or these Terms and Conditions. Once the Content you provide is uploaded as a listing and is posted to the website, it will be publicly visible on this website and may also be uploaded to, and promoted via, our social media channels. Knight Frank reserves the right to amend, suspend or remove the listing for any Space where Knight Frank, in its sole discretion, considers that the Content or the Office Provider has breached the law or these Terms and Conditions, or where there is any dispute about the Office Provider’s authority to have made the Content or listing available to Knight Frank to upload to the website. 

We will use the contact details you provide to us with the listing Content to contact you or refer Clients to you. Any personal data that you provide to us, or we otherwise collect about you when you use our services or communicate with us, will be governed by our privacy policy (see https://www.knightfrank.com/legals/privacy-statement).  

Commission

The Office Provider acknowledges that it will pay Knight Frank a commission on every new agreement or contract in respect of any Space (as renewed, extended (including to add a new Space) or amended) entered into by a Client who is referred by Knight Frank to, and accepted by, the Office Provider (“Agreement”). The rates and payment terms for such commission will be agreed between the Office Provider and Knight Frank.

The Service Provider will promptly notify Knight Frank about any changes in respect of any Agreement, and the parties will agree and amend payment of the applicable commission accordingly.

Invoicing and Payment

Knight Frank will invoice the Office Provider for the commission and payment will be due in accordance with Knight Frank’s payment terms. You acknowledge that your liability to pay commission to Knight Frank is independent of your receipt of payment due to you under any Agreement.

This section (along with any section which gives effect to it) will survive termination or expiry of these Terms and Conditions. You acknowledge and agree that deletion of your Spaces from the website and/or termination or expiry of these Terms and Conditions shall not terminate or void any obligation you have to pay a commission (or any other amounts) due in respect of any Agreement that is entered into pursuant to any effective introduction made by Knight Frank (even where the Agreement is signed by a Client after you terminate these Terms and Conditions).

Additional Terms and Conditions for Clients (This section applies only to Clients)

You may use our website to register for an Account, find out more information about us and our services, browse Space listings and contact Knight Frank in respect of listed Spaces. You acknowledge that we may monitor your use of our website for training and business purposes and to ensure compliance with these Terms and Conditions.

You acknowledge that our website may contain links to third party products, services, websites and suppliers. We have no control over these third parties and do not endorse or take responsibility for them or any advertising or data they provide to you.

Where you use the website to contact Knight Frank about a Space, you give us consent to use (and you agree that you have the requisite rights to give such consent) the details you provide in order to contact you to discuss the Space or other potential properties, and share your contact details (including, if applicable, your Account details) and the content of your enquiry or request with the relevant Office Provider(s).

Intellectual Property Rights Notice

This website is owned and controlled by Knight Frank. Unless otherwise noted, we are the owners or licensees of all intellectual property rights in this website (including any databases, proprietary software utilised by us to enable you to use this website and the underlying source code), and all content featured on this website, (whether text or images).   We grant you a revocable, non-exclusive, non-sublicensable, non-transferable licence to use our intellectual property rights in this website and the content on it solely to the extent necessary for you to retrieve and view information in order to find a Space, provided that any printed copies of the website properly and clearly indicate Knight Frank’s copyright and other proprietary notices. You must not use any illustrations, photographs, graphics, videos or audio sequences separately from any accompanying text.

You may not scrape, extract, reproduce, download, upload, data mine, modify, decompile, disassemble, transmit, publish, sell or offer for sale (in whole or in part), any part of this website content from this website.  You agree not to use or cause to be used any computerised or other manual or automated program or mechanism, tool, or process, including any scraper or spider robot, to access, display, scrape, extract, reproduce, download, upload, data mine, modify, decompile, disassemble, transmit, or publish any part of this website.

User Content

By submitting Content to us for use on this website or our social media channels, or otherwise providing content or information to us, you grant Knight Frank a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sub-licensable and fully transferable licence to use, reproduce, display, modify and edit the Content. You waive any moral rights you may have in the Content.

You warrant and represent that you have all rights necessary to grant us these rights and that the Content is not illegal, obscene, abusive, threatening, defamatory, contrary to these Terms and Conditions or otherwise objectionable to us.

Acceptable Use

In using the website you must:

a. not use the website in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms and Conditions, act fraudulently or maliciously (for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into Knight Frank software or into any operating system), or act in any way which brings Knight Frank (or its reputation) into disrepute;

b. not infringe any rights (including intellectual property rights) belonging to Knight Frank or any third party in relation to your use of the website;

c. not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the website;

You agree to fully indemnify, defend and hold harmless Knight Frank, its representatives, employees, agents, consultants and directors from any and all claims or losses (including liabilities, damages, penalties, fines, costs and expenses of any nature) arising out of, or in connection with, any claim resulting from your use of the website or your breach of these Terms and Conditions, including those claims or losses that result from:

a. your violation of any law or the rights of a third party;

b. any allegation that any Content or other materials that you provide to us, submit to the website or transmit through the website infringe or otherwise violate the rights (including intellectual property rights) of any third party; and

c. any claim that use of the Content by Knight Frank as permitted by these Terms and Conditions infringes or is alleged to infringe the intellectual property rights or any other rights (including privacy rights) of any third party,

provided that you shall not be liable under such indemnity to the extent that the claim or loss results directly from Knight Frank’s error in uploading the Content or Knight Frank’s breach of these Terms and Conditions.

Liability

Knight Frank excludes all implied conditions, warranties, representations or any other terms that may apply to this website or its contents to the maximum extent permitted by law. Unless we otherwise agree in writing, Knight Frank will not be liable to you in any circumstances for any loss or damage (including, without limitation, any direct, indirect or consequential loss), whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, including any loss or damage arising under or in connection with:

Nothing in these Terms and Conditions excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

In the event that you are dissatisfied with, or dispute these Terms and Conditions, to the maximum extent permitted by law, your sole right and exclusive remedy is to cancel your Account and to cease to use this website.

Notices

Any notice required to be given to you by Knight Frank will be delivered to the email address associated with your account or sent by registered mail to the address associated with your account. Any notice required to be given by you to Knight Frank should be delivered using registered mail to our registered office or by email to fosenquiries@knightfrank.com.

Law

All Terms and Conditions concerning the usage of this website and any matters arising from use of this website (including all non-contractual matters or claims) will be governed by the laws of England, and any dispute concerning Terms and Conditions and/or use of this website will be determined exclusively by the English Courts.
